TUPE

The Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE) apply to the sale of a business (or part of it) or on a change in service provider.

The effect of TUPE is for all employees assigned to the original business to transfer to the purchaser or new service provider. This is sometimes referred to as a statutory novation and means the new employer takes over the contracts including all rights, liabilities and obligations towards them. There are also very onus provisions preventing employers dismissing employees or treating them to their detriment, because of the transfer.

The other main consequence of TUPE is the obligations it imposes on both the old and new employer to consult with affected employees on the transfer and any subsequent changes to their terms and conditions.
