Directors
We advise directors on their employment rights, their specific duties (including fiduciary duties) and obligations as directors, and also on any equity or deferred compensation issues.
Directors (whether statutory directors or otherwise) will usually be subject to complex contractual arrangements and compensation arrangements.
We are also able to advise directors on their exit arrangements and any Settlement Agreement regardless of the reason for departure.
Recent instructions include:
- Conducting litigation for a managing director claiming whistleblowing and his obligations to the FCA / FSA.
- Advising a Chief Operations Officer (COO) on his pre-contractual negotiations.
- Defending a director in allegations of breach of fiduciary duties and duties under the Companies Act 2006.
- Advising many directors on their settlement agreement (formerly compromise agreement) upon leaving a business.
As a result of their success, our London based team and our lawyers individually have received acclaim in the leading legal directories: Legal500 and Chambers & Partners.
If you would like to speak on a confidential basis to one of our solicitors about Directors’ duties, a new contract or a Settlement Agreement, please call us on 0203 178 5360 or email info@kervinandbarnes.com.
